SUPPLEMENTAL ACKNOWLEDGEMENT

The party executing this Supplemental Acknowledgement (referred to as "User") hereby articulates the following statements as of the date of execution, providing PassimPay with the necessary information to confirm the User's awareness of its obligations under PassimPay’s Terms of Service and to ensure compliance with specific regulatory requirements.

User hereby acknowledges, affirms, represents, and warrants that:

1. User has reviewed, comprehended, and agrees to be bound by PassimPay’s Terms of Service (https://passimpay.io/en/terms) (hereinafter the "Terms"), and any subsequent amendments, for the duration of its use of the Services (as defined in the Terms);

2. The information and documentation provided by the User concerning its application to open or maintain an account or subaccount on PassimPay (collectively, the "Application Documentation") is truthful, accurate, complete, and correct;

3. User is not registered, organized, incorporated, formed, or established in the United States or Israel;

4. User’s principal place of business is not situated in the United States or Israel;

5. User is not a trust governed by the laws of a state or other jurisdiction in the United States or Israel if a court within the United States or Israel can exercise primary supervision over the administration of the trust;

6. User does not manage or operate any PassimPay account or subaccount on behalf of any individual or entity, nor does it provide access to any PassimPay account or subaccount to any person or entity (1) residing in, or registered, organized, incorporated, formed, or established in, the United States, Israel, or any sanctioned jurisdiction, including Cuba, North Korea, Iran, Syria, Crimea, Donetsk People’s Republic, and Luhansk People’s Republic (each a "Sanctioned Jurisdiction"), (2) having its principal place of business (as defined herein) in the United States, Israel, or any Sanctioned Jurisdiction, and/or (3) on any sanctions list as outlined in Section 2.1 of the Terms;

7. User has undertaken reasonable due diligence regarding its activities and operations to substantiate the Application Documentation and the statements made herein.

User confirms, represents, and warrants that the statements in this Supplemental Acknowledgement are true, accurate, correct, and complete. User understands and agrees that PassimPay may, without further inquiry, rely and act upon the Application Documentation or any statement made herein when deciding whether to provide or continue to provide the Services to User. User agrees to promptly inform PassimPay in writing if any information in the Application Documentation or any of the statements herein ceases to be true, accurate, correct, and complete.

The undersigned individual affirms possessing full power and authority to bind User to the Terms and statements made herein. An electronic copy of a signature holds the same force and effect as the original.
